Our Opportunity

The $200B Mode of Transportation That’s Lagging Behind1

The global two-wheel market will reach $200 billion by 2032. But the safety, connectivity, and intelligence features standard to modern cars haven’t translated. Motorcycles and the personal mobility market, in particular, remain largely disconnected, gas-powered, and without real-time hazard detection, rider data, or over-the-air updates. With 70% of urban commuters preferring electric vehicles, we need a unified platform to intelligently and safely power this two-wheeled boom.

Frequently Asked Questions

What kind of shares are you issuing?

Units consisting of one Common Share and one Warrant to purchase one Common Share.

Where can I find the company’s SEC filings?

All filings can be found on EDGAR and SEDAR with the following links:
https://ir.damon.com/SEC-Filings
https://ir.damon.com/SEDAR-Filings

How much are you raising?

We are targeting $30M with this campaign, with the opportunity for investors to also exercise their warrants for additional common shares.

How will I get a return on my investment?

When you invest in Damon through this Regulation A+ offering, you are purchasing equity in the company, meaning you become a particle owner. Your return on investment (ROI) can come from several potential outcomes:

  • Company Growth: As Damon scales its vehicle production, expands on Damon I/O, and launches partnerships and licensing programs, the overall value of the company may increase, raising the value of your shares.
  • Liquidity Events: If a larger company acquires Damon or facilitates a secondary sale where Damon buys back shares of the company.
  • Early Entry Advantage: By investing now, you are entering at a relatively early state. That means your investment could appreciate significantly if Damon executes on its roadmap and valuation included in future funding rounds or liquidity events.
  • Optional Future Dividends: While we are focused on growth, if Damon reaches sustained profitability, we may choose to issue dividends to shareholders.

Important note: All investments carry risk, and returns are not guaranteed. However, Damon offers a rare opportunity to invest early in a company with patented technology, global demand, and a SaaS platform business model built for long-term value.

When will I receive my shares?

Shares will be rewarded after the investment funds are cleared and closed for each tranche. This typically takes around 3 to 4 weeks after investment.

Are there higher fees if you invest via credit card vs. ACH?

There are set fees for the financing costs, but any other additional fees from your bank or credit card will be at your own discretion.

How will I (investor) make money?

When you invest in Damon through this Regulation A+ campaign, you are supporting our vision and mission in personal mobility by buying equity in the company, meaning you own a piece of our future. As Damon grows, your investment has the potential to grow in value.

Here are a few key ways you could see a return:

  • Company Growth: As we generate more revenue through vehicle sales, customer subscriptions to Damon I/O, and partnership with other OEMs, the value of the company can rise, along with the value of your shares.
  • Liquidity Events: if Damon is acquired or we offer to buy back shares, you may have the opportunity to sell your shares at a higher price than you paid.
  • Potential Dividends (long term): while we are currently reinvesting for growth, in the future we may issue dividends to shareholders as our business matures.

It is important to remember that all investments carry risk, and returns are not guaranteed. But Damon is building for the long term, and feels it has clear paths to recurring revenue, market leadership, and global impact.  By investing now, you could be getting in at an early stage, backing not just an EV company, but what Damon believes is a next generation personal mobility solutions platform.

How do I know people will buy this solution?

Personal Mobility is evolving and the market is demanding safer, smarter, and more sustainable forms of transportation. Damon has already received thousands of preorders from riders over 30 different countries, proving global interest in our next generation electric motorcycles. What makes us different is not just our bikes, but with our Damon I/O platform - our proprietary connected system that transforms every ride with real-time safety, telemetry, and performance intelligence.

Customer demand provides evidence that riders are ready for a new era of riding: safer, smarter, electric. Damon doesn’t just deliver on that promise, we live it.

Are there more opportunities ahead?

Yes, many more. Damon is more than a motorcycle company. We are building a Software-as-a-Solution “SaaS” based platform (Damon I/O) that can power an entire fleet of personal mobility products and services:

  • Consumer subscriptions for safety, navigation, and ride analytics
  • Commercial fleet solutions (data, insurance, remote diagnostics)
  • Licensing to other OEMs who want to fast-track their entry into connected vehicles
  • AI-powered data services for mobility planning, logistics and last-mile delivery partners, and emergency responders.

As more Damon I/O powered vehicles are on the road, Damon I/O grows smarter, creating a network effect that expands our value over time.

Why didn't a bigger company do this already?

Traditional OEMs are structured to produce mechanical machines, but they move slowly when it comes to safety innovation, software, or deep platform machine learning integration between hardware and software. Their business models prevent the rapid expansion into emerging technologies and that is where Damon comes in, we were built from the ground up to combine hardware, software, and AI into a single, future-ready system.

We have invested years into R&D, safety patents, and proprietary data infrastructure, bigger companies are only now trying to catch up.

How do you plan to use the proceeds from this funding round?

All use of proceeds are outlined in the Form 1-A on EDGAR: https://ir.damon.com/SEC-Filings The funds are used for research & development, marketing & technology and working capital & capital expenditures.

What is the current valuation of the Company?

Just under $2 million, but our IP portfolio has been valued to be $159 million.

Why should I invest?

By investing in Damon, you are not just supporting an EV personal mobility company, you are joining a cause to redefine the personal mobility industry through safety, intelligence, and connectivity.

  • First-mover advantage in connected personal mobility vehicles.
  • Proven demand with global preorder of over 3000
  • Patented safety tech (e.g. CoPilot and Shift amongst others)
  • Scalable recurring revenue models with Damon I/O
  • OEM Licensing opportunities

With your investment, you are helping bring life-saving innovation to riders and participating in the growth of a tech-driven mobility company with a platform for long-term value.

How long are you expecting the company to operate before needing another round?

We are a pre-revenue company that requires capital to execute against the business plan. This current raise of capital is on a best efforts basis. The round of financing based on how much is raised will give us an indication on when and/or if we need to do another round of financing.

What is the exit plan for the company?

We are a publicly traded company, which means a number of opportunities exist for both our investors and Damon as we grow.

Our focus is on executing our business plan, scaling our platform, and delivering innovative products that redefine personal mobility.  By doing so, we aim to create long-term value for all stakeholders, our customers, partners, and most importantly, our shareholders.

What industries are you currently focused on?

We are focused on two key industries:

  • Consumer EV Personal Mobility (B2C): EV personal mobility for individual riders who value safety, performance, and tech integration they are familiar with in other consumer electronic products.
  • Connected Vehicle Technology (B2B): Damon I/O serves other OEMs, fleets, and commercial partners by offering white-label solutions and services for telematics, safety systems and predictive analytics.

These industries intersect at a powerful moment in time: when riders expect safer, smarter experiences, and companies need a connected platform to deliver them.

How many investors do you have already?

We are a publicly traded company with many shareholders. Our registered shareholders are noted on our Form 1A.

Will you be paying out dividends to investors?

Not at this time.

What’s the Company's core business?

Damon’s core business is to re-defining personal mobility around safety and intelligence. We build premium personal mobility vehicles equipped with Damon I/O, our SaaS platform turns every ride into a stream of data, powering safety alerts, performance optimization, and over-the-air updates. Safety in personal mobility is where it starts, but the Damon I/O platform is how we scale.

Where are your headquarters located?

We are headquartered in Vancouver Canada with international offices in the United States and Europe.

How many employees does your company have?

We currently employ 11 full time staff and a handful of specialized contactors to round out our resource needs across engineering, design, operations, product development and marketing.

This lean, high-performing and award winning team has successfully delivered Damon’s patented safety system, secured over 3000 preorders, and built the foundation for our vehicles and Damon I/O. With additional funding, we plan to scale our team significantly to accelerate product delivery, expand our platform, and grow into new markets.

When will the Company expand into additional markets and which ones?

We already offer products to customers globally, with preorders from over 30 countries and growing. Our initial focus is on North America and Europe, but Damon’s technology, particularly Damon I/O, has global relevance.

As we increase production and partnerships with other OEMs, our expansion will be driven by data infrastructure readiness, regulatory compliance, and market demand. Thanks to our software-first approach, many Damon I/O features can be deployed worldwide with minimal friction.

Can you share the roadmap for the next 3-4 years and when you expect to become profitable?

With our 4 revenue verticals, we look to be generating substantial revenue after year 2.

Do you plan on licensing your technology?

Yes, Licensing is a key part of our growth strategy, especially through Damon I/O, our connected vehicle platform.

We plan to license:

  • Damon I/O to other OEMs and fleet operators who want to fast-tract their entry into connected, intelligent vehicles without building the infrastructure themselves.
  • Our proprietary motor and battery technology to select partners who are looking to enhance their EV performance or accelerate time-to-market.

Licensing allows us to scale beyond our own vehicles, create new revenue streams, and help transform the entire personal mobility industry, not just Damon vehicles. We are already in conversations with OEMs interested in integrating Damon’s software and hardware IP into their own product lines.

How many patents do you have?

Damon has been awarded 41 patents and patent pending. This is our commitment to cutting edge technology and safety.  A few of our patents include:

  • Motorcycle collision warning systems
  • Rider behaviour machine learning model
  • Active ergonomics for motorcycles

What does your path to profitability look like?

Our path to profitability is driven by two revenue models:

  • Personal Mobility Vehicle Sales: Our vehicle lineup offers sales from our pre-orders and any future vehicle products solutions for day-to-day personal and business needs.
  • Recurring Revenue from Damon I/O: Subscriptions, data services, and white labeled licensing for other OEMs create a scalable, high-margin SaaS business model.

Who are your competitors? What are your advantages against them?

Our competitors fall into two main groups:

  • EV motorcycle manufacturers like Zero and LiveWire (Harley-Davidson)
  • Connected Vehicle Tech Companies, primarily in the automotive, logistic space.

What sets Damon apart:

  • Integrated Safety - we are the only EV personal mobility brand with a fully integrated, patented safety system.
  • SaaS Platform Differentiation - Damon I/O powers advance features, data intelligence, and over-the-air updates, this makes every vehicle smarter over time (B2B licensing opportunities).
  • Vertical Integration - We control both the hardware and software stack, allowing for tighter product experience and stronger margins.

No one else in the category is combining safety, performance, and connected intelligence the way Damon is.

Are you looking to partner with other companies?

Yes, we are actively building partnerships with:

  • Other personal mobility OEMs that want to integrate Damon I/O to modernize their vehicles.
  • IoT and connected products companies that can extend their product ecosystem.
  • Fleets and Delivery Services needing telematics, predictive maintenance insights, real-time vehicle data, and risk modeling.

Damon I/O is designed to be modular and extensible, making it ideal for partners seeking turnkey connected vehicle solutions.

What have been the main challenges in developing your service/product and how have they been mitigated?

Building a fully integrated, connected EV vehicle with proprietary safety is no small task. Our main challenges have included:

  • Marketing Education: Communicating the value of safety and connected intelligence to the market accustomed to mechanical motorcycles takes time.
  • Capital Efficiency, Go-To-Market Manufacturing: instead of building our own factory, we are securing strategic partnerships that allow for asset-light assembly, enabling us to scale production efficiently without massive upfront costs.
  • R&D Complexity: fusing high-performance hardware and advanced software systems, including AI powered safety features, requiring years of engineering investment.

How we have mitigated this:

  • We have secured over 3000 preorders, validating customers interest and product-market fit.
  • We have built a modular platform (Damon I/O) that allows us to scale and license technology to others, de-risking production timelines and opening revenue opportunities to license the platform to other OEMs.
  • We have a strong IP portfolio, giving us an edge on licensing and partnership opportunities
